1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PaxLabs Inc., Paxeer Foundation, Sidiora Markets Limited, ChainFlow Inc., and The Open Crypto Foundation (collectively, the "Paxeer Network Entities," "we," "us," or "our") governing your access to and use of the Paxeer Network, including all associated websites, applications, smart contracts, protocols, tokens, and services (collectively, the "Services").

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

The Services are provided by the following entities, each with specific roles and responsibilities:

To use our Services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be a resident of any jurisdiction where access to or use of the Services is prohibited
• Not be listed on any sanctions list maintained by the United States, European Union, United Nations, or other relevant authorities
• Not use the Services for any illegal purpose or in violation of any applicable laws
• Complete any required identity verification procedures

4. Account Registration and Security

To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials, including passwords, private keys, and seed phrases. You agree not to disclose your credentials to any third party and to notify us immediately of any unauthorized access to your account. The Paxeer Network Entities shall not be liable for any loss or damage arising from your failure to protect your account credentials.

The Paxeer Network Entities provide the following Services:

• Paxeer Network: A layer-1 blockchain protocol enabling fast, secure, and scalable decentralized applications
• Token Migration: Services for migrating tokens between different versions or chains
• Sidiora Exchange: Digital asset trading platform with spot and derivatives markets
• ChainFlow Trading: Automated trading and cross-chain liquidity solutions
• Paxport Wallet: Non-custodial wallet for managing digital assets
• Predix: Decentralized predictions market platform
• Governance: On-chain voting and proposal systems

6. Digital Asset Risks

YOU ACKNOWLEDGE AND AGREE THAT DIGITAL ASSETS AND BLOCKCHAIN TECHNOLOGY INVOLVE SIGNIFICANT RISKS, INCLUDING BUT NOT LIMITED TO:

• Extreme price volatility and potential total loss of value
• Regulatory uncertainty and potential adverse regulatory actions
• Smart contract bugs, exploits, or vulnerabilities
• Network congestion, downtime, or protocol failures
• Cybersecurity attacks, hacks, or theft
• Loss of private keys resulting in permanent loss of assets
• Forking events that may affect the value or functionality of assets
• Market manipulation and liquidity risks

THE PAXEER NETWORK ENTITIES DO NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS BEFORE MAKING ANY DECISIONS REGARDING DIGITAL ASSETS.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Money laundering, terrorist financing, or other financial crimes
• Market manipulation, wash trading, or fraudulent trading practices
• Unauthorized access to our systems or other users' accounts
• Distributing malware, viruses, or harmful code
• Interfering with the proper functioning of the Services
• Circumventing security measures or access restrictions
• Using bots or automated systems in violation of our policies
• Impersonating others or providing false information
• Engaging in any activity that could damage the reputation of the Paxeer Network Entities

8. Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, are owned by the Paxeer Network Entities, their licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Certain software components of the Paxeer Network are released under open-source licenses. Your use of such open-source components is governed by the applicable open-source license terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PAXEER NETWORK ENTITIES AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Loss or theft of digital assets
• Smart contract failures or blockchain network issues

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE PAXEER NETWORK ENTITIES EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Paxeer Network Entities and their directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of any applicable laws or regulations.

11. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Arbitration Rules. The seat of arbitration shall be Zurich, Switzerland. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE PAXEER NETWORK ENTITIES.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. For matters relating to Sidiora Markets Limited, the laws of the British Virgin Islands shall apply. For matters relating to ChainFlow Inc., the laws of Singapore shall apply.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
